Share And Capital Issues And Restructuring
We have vast experience in the restructuring of companies, as follows:
Convening attending and recording proceedings at various Shareholders and Directors meetings to discuss restructuring matters;
Assessing group structures and relationships among the entities within the group;
Assisting in drafting share sale and purchase agreements;
Dealing with all matters relating to share capital variations, reductions and increases;
Advise on the transfer of shares with due regard to rights contained in a Company’s Articles of Association;
Advise on the required disclosures to the Public as well as disclosures and reporting requirements to the Capital Markets Authority (CMA) for listed companies, and liaise with the CMA accordingly;
Convening and attending various meetings with the CMA to discuss matters related to share transfers and disclosure requirements;
Advise the client on stamp duty planning;
Liaise with the Collector of Stamp Duties on the applicability of the stamp duty exemptions within the meaning of the Stamp Duty Act, and apply for adjudication of Stamp Duty, where applicable;
Prepare share documentation, submit the same to the Collector of Stamp Duties, and follow-up to ensure the completion of the registration and stamping processes;
Dealing with matters relating to the completion of the restructuring process and making necessary changes to company documentation and filing these with the relevant authorities; and
Dealing with all ongoing statutory compliance matters for the Companies within the group.
